END USER LICENSE AGREEMENT SalonPOS - VietNova Automation LLC Last updated: July 30, 2026 PLEASE READ THIS AGREEMENT CAREFULLY. By installing, activating, or using SalonPOS (the "Software"), you agree to the terms below. If you do not agree, do not install or use the Software. This Agreement is between you (the "Customer") and VietNova Automation LLC, a Florida limited liability company ("we," "us," or "VietNova"). 1. LICENSE - WHAT YOU ARE GETTING We grant you a limited, non-exclusive, non-transferable license to install and use the Software for the internal business operations of your salon, on the number of computers covered by your license key(s). The Software is LICENSED TO YOU, NOT SOLD. We keep all ownership rights, including all intellectual property in the Software. SalonPOS is sold for a ONE-TIME FEE. Once your purchase price is paid in full, your license is PERPETUAL for the version(s) of the Software made available to you: no further payments are required to keep using the Software, and we will not deactivate a fully paid license for non-payment. Continued access to future updates and support may require a separate update or support plan, as described at the time of purchase. 2. FREE TRIAL We may offer a free trial of the Software. A trial license is valid for thirty (30) days from the date of activation, with a fixed end date. When the trial ends, the Software will stop operating unless you purchase a license. Any business data you entered during the trial remains stored on your computer, remains yours, and becomes accessible again if you purchase a license. 3. PAYMENT PLANS If you purchase your license on a payment plan agreed in writing (splitting the one-time fee into installments), your license remains CONDITIONAL until the full purchase price is paid. If a scheduled payment is missed, we may suspend (deactivate) your license until your account is brought current, as described in your signed order. Suspension stops the Software from operating but does not delete or alter your locally stored business data. When your balance reaches zero, your license becomes a fully paid perpetual license under Section 1. 4. LICENSE KEYS, ACTIVATION, AND ONLINE LICENSE CHECKS Each license key is issued to one salon and activates on a specific computer. You agree not to share, sell, lend, or publish your license key, and not to use one key to run the Software at locations or on machines not covered by your purchase. We may deactivate keys that are shared, resold, or used in violation of this Agreement. The Software verifies its license status over the internet. During a free trial or while on a payment plan, the Software must be able to connect to our license server at least once every fourteen (14) days; if it cannot, it will temporarily lock until a connection is made. Once your license is PAID IN FULL, the Software does not require an internet connection or ongoing license checks to keep running. IMPORTANT: Any license deactivation, suspension, or lock stops the Software from operating, but it NEVER deletes, transmits, or alters the business data stored on your computer. Your data remains on your machine and remains yours (see Section 6). 5. WHAT YOU MAY NOT DO You agree that you will NOT: (a) copy, distribute, rent, lease, or resell the Software; (b) reverse engineer, decompile, disassemble, or attempt to extract the source code of the Software; (c) modify the Software or create derivative works from it; (d) bypass, disable, or interfere with the Software's license activation, update, or security features; (e) use the Software for any unlawful purpose. 6. YOUR DATA All business data you enter into the Software (tickets, customers, staff, payroll records, and similar) is stored locally on your own computer and belongs to you. We do not collect, receive, or access this business data; the Software contacts our servers only to verify license status (see Section 4). If you use the optional check-in kiosk service, the information your customers enter on the kiosk (name, phone number, optional contact details, and their text-message consent record) is stored on our check-in server so the kiosk and the Software can work together and so you have proof of each customer's consent; we do not sell or share that information. The Software includes automatic local backup features as a courtesy; however, YOU are responsible for maintaining your own backups of your business data and your computer. We are not responsible for loss of data caused by hardware failure, deletion, theft, malware, or misuse of your computer. You are responsible for complying with all laws that apply to the customer information you collect and use, including any marketing or text-message consent requirements. 7. PAYROLL AND BUSINESS CALCULATIONS - IMPORTANT The Software provides tools that calculate totals such as sales, commissions, fees, tips, and payroll amounts. These tools are provided to assist your business and are NOT accounting, tax, or legal advice. You are solely responsible for reviewing and verifying all amounts before paying staff or filing anything with any government agency, and for complying with all tax, wage, and labor laws that apply to your business. We are not liable for errors in amounts you failed to review, or for your compliance with any law. 8. PAYMENT PROCESSING (THIRD-PARTY SERVICES) Card payment processing is performed by third-party providers (such as Square) under your own separate agreement with that provider. We are not a party to those transactions. Fees, chargebacks, disputes, holds, and payouts are strictly between you and your payment provider. We are not responsible for the availability, performance, or decisions of any third-party service. 9. UPDATES We may provide updates and improvements to the Software from time to time. Updates are offered through the Software. Updates are included for any period stated at the time of purchase, and thereafter may require a separate update plan. We may require you to install updates to continue receiving support. 10. TERMINATION AND SUSPENSION This license ends automatically if you materially breach this Agreement. A trial license ends at the end of the trial period unless you purchase a license. A license on a payment plan may be suspended for missed payments as described in Section 3 and in your signed order, and may be terminated if the payment plan is in default under the terms of that order. A FULLY PAID license will not be suspended or terminated for non-payment, and may be terminated only for material breach of this Agreement. Upon termination you must stop using the Software. Your locally stored data remains yours, on your computer, in all cases. Sections 6, 7, 8, 11, 12, and 13 survive termination. 11. NO WARRANTY THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED. 12. LIMITATION OF LIABILITY TO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) IN NO EVENT WILL VIETNOVA AUTOMATION LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SOFTWARE OR THIS AGREEMENT, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; AND (b) OUR TOTAL LIABILITY FOR ALL CLAIMS, IN THE AGGREGATE, WILL NOT EXCEED THE ONE-TIME LICENSE FEE YOU PAID US FOR THE SOFTWARE. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you; in that case, our liability is limited to the smallest amount permitted by law. 13. GOVERNING LAW AND DISPUTES This Agreement is governed by the laws of the State of Florida, without regard to its conflict-of-law rules. Any dispute arising out of this Agreement or the Software will be brought exclusively in the state or federal courts located in Florida, and both parties consent to the jurisdiction of those courts. 14. GENERAL This Agreement is the entire agreement between you and us regarding the Software and replaces any prior discussions. If any part of this Agreement is found unenforceable, the rest remains in effect. We may update this Agreement for future versions of the Software; the version presented with the Software you install applies to that installation. You may not transfer this Agreement without our written consent. 15.
